USER AGREEMENT OF NURSINGPREP CENTRAL

Welcome to our User Agreement, which includes our Privacy Policy and data protection guidelines. Please review this document thoroughly, as accessing our website indicates your acceptance of these terms. We may update this agreement periodically, and any changes will be posted on this page and our homepage with appropriate notifications.
Refund Policy
1. Nursing Programs - TEAS, HESI, NCLEX, and Related Content
Question bank and content review purchases qualify for a full refund provided you reach out to us within 24 hours of your purchase and have not yet completed the initial baseline assessment.
2. Live Webinars and In-Person Events
When you register for a live webinar or in-person event, you understand and accept that all registration payments are non-refundable. No refunds will be issued under any circumstances, including personal emergencies or scheduling conflicts.
Intended for Personal Use Only
The NursingPrep Central platform and all materials accessed through our service are strictly for your individual, non-commercial use and must not be shared with others. Throughout your membership, we provide you with a limited, non-exclusive, non-transferable license to access our service and content. Beyond this limited license, no ownership rights or interests are conveyed to you. You agree not to use our service for any public presentations or performances.

Terms with capitalized initial letters carry specific meanings as outlined below. These definitions maintain consistent meaning whether used in singular or plural form.
Definitions
For the purposes of these Terms and Conditions:
- Application refers to the student learning application provided by the Company, named NursingPrep Central
- Affiliate means any entity that controls, is controlled by, or shares common control with a party, where "control" signifies ownership of 50% or more of voting shares or securities
- Account means your unique account created to access our Service or specific portions thereof
- Country refers to: United States
- Company (also referred to as "we", "us", or "our") refers to NursingPrep Central
- Device means any equipment capable of accessing the Service, including computers, mobile phones, or tablets
- Feedback means any feedback, testimonials, innovations, or suggestions you provide regarding our Service's features, performance, or attributes
- Goods refer to products or services available for purchase through the Service
- Orders mean your requests to purchase Goods from us
- Promotions refer to contests, giveaways, or other promotional activities offered through the Service
- Service refers to the Application, the Website, or both
- Plans (also labeled "Subscriptions" in parts of your Account) refer to access purchased with a one-time payment for a specified access period. Plans do not automatically renew
- Terms and Conditions (also "Terms") mean this complete agreement between you and the Company regarding Service use
- Third-party Social Media Service means external services or content that may be displayed or made available through the Service
- Website refers to NursingPrep Central, accessible from https://nursingprepcentral.com
- You means the individual or legal entity accessing or using the Service
Acknowledgment
These Terms and Conditions establish the rules for using this Service and form a binding agreement between you and the Company. They outline the rights and responsibilities of all users.
Your access to and use of the Service depends on your acceptance of and adherence to these Terms. These Terms apply to everyone who accesses or uses the Service, including all visitors and users.
By accessing or using the Service, you confirm your agreement to be bound by these Terms. If you disagree with any portion of these Terms, you must not access the Service.
You confirm that you are at least 18 years old. The Company does not allow individuals under 18 to use the Service.
Your access also depends on your acceptance of our Privacy Policy, which explains how we collect, use, and protect your personal information, and describes your privacy rights under applicable law. Please review our Privacy Policy carefully before using our Service.
Placing Orders for Goods
By placing an Order through the Service, you confirm that you have the legal capacity to enter into binding contracts.
Your Information
When placing an Order, you may need to provide certain details including your name, email address, and the billing and payment details required by the payment provider at checkout.
You confirm and guarantee that: (i) you have legal authorization to use any payment methods associated with your Order; and (ii) all information you provide is accurate, complete, and truthful.
By providing this information, you authorize us to share it with third-party payment processors to complete your Order.
Order Cancellation
We maintain the right to decline or cancel your Order at any time for various reasons, including:
- Product or service availability
- Inaccuracies in descriptions or pricing
- Errors in your Order details
We reserve the right to refuse or cancel your Order if we suspect fraudulent, unauthorized, or illegal activity.
Your Cancellation Rights
Purchased Goods may only be returned according to these Terms and our Refund Policy, which is included in this document. Please review our Refund Policy to understand your cancellation rights.
Our plans provide digital access to learning materials. Refund requests are handled under the Refunds section below, including any applicable Pass Guarantee and rights required by law.
Availability, Errors, and Inaccuracies
We continuously update our Goods offerings on the Service. Products available may occasionally be mispriced, inaccurately described, or unavailable. We may experience delays updating Service information and advertising on external websites.
We cannot guarantee complete accuracy of information, including prices, product images, specifications, availability, and services. We reserve the right to modify or update information and correct errors, inaccuracies, or omissions at any time without advance notice.
Prices Policy
The Company may adjust prices at any time before accepting an Order.
The price displayed at checkout applies to that purchase. Later price changes do not change the amount already paid or create an additional charge for that access period.
Payments
All Goods require a one-time payment. We accept various payment methods including Visa, MasterCard, American Express, and online payment services like PayPal.
Payment cards require validation and authorization from your card issuer. We are not responsible for delays or non-delivery if we don't receive proper authorization.
Plans and Access Periods
One-Time Plan Purchases
Paid features are available through plans purchased with a one-time payment in advance. Each plan provides access for the duration shown when you select it and at checkout. Your Account and purchase receipt show the access period for your purchased plan.
Plans do not automatically renew. We do not charge you again when your access period ends. A plan described as monthly, annual, or another duration describes the length of access purchased, not a recurring billing agreement.
Expiration and Further Access
Paid access ends at the end of the purchased access period. To continue, you must choose and purchase another plan at the price offered at that time. There is no automatic renewal to cancel, and no cancellation request is needed to prevent future renewal charges.
If you stop using your plan before it expires, any refund request is subject to the Refunds section below. Stopping use does not itself create a refund entitlement.
Billing
Provide accurate billing information and valid payment details as requested at checkout. You authorize payment for the purchase you confirm. Payment is processed through the payment provider selected at checkout.
If payment is unsuccessful, the purchase is not completed and paid access is not activated for that purchase. You may retry checkout or contact support for help with a payment issue.
Fee Changes
We may change the prices of plans offered for future purchases. A price change does not alter the amount paid or access period for a purchase already completed.
Any later purchase requires your confirmation at checkout at the price then displayed. Continuing to use your existing plan does not authorize a new payment or a higher charge.
Refunds
Unless required by law, paid plan fees are non-refundable, except under the Pass Guarantee described below.
Pass Guarantee
If you complete the Premium package and do not pass your NCLEX® on the first attempt, you can claim a full refund. This is an exception to the general rule above. To qualify you must meet all of the following conditions:
- Purchase and hold an active Premium package for the module
- Complete at least 90% of the practice materials provided
- Maintain an average score of 65% or higher across practice exams
- Claim within 30 days of receiving your official exam result
Claims are made by contacting support with your official result. This guarantee is an exception to the general refund policy in our Terms & Conditions.
We may consider certain plan refund requests on a case-by-case basis at our sole discretion.
Platform Purchases
Plans are purchased through our platform checkout. Using the student application on a phone or tablet does not create an Apple App Store or Google Play subscription. For questions about a charge, access, or a refund request, contact us with your receipt number so we can review the purchase.
Promotions
Promotions offered through the Service may have separate rules from these Terms.
If participating in Promotions, review the applicable rules and our Privacy Policy. If Promotion rules conflict with these Terms, Promotion rules prevail.
User Accounts
When creating an account, provide accurate, complete, and current information. Failure to do so breaches these Terms and may result in immediate account termination.
You're responsible for safeguarding your password and all activities under your account, whether with our Service or Third-Party Social Media Services.
Never disclose your password to others. Notify us immediately upon discovering any security breach or unauthorized account use.
Don't use usernames belonging to others, unavailable for lawful use, subject to others' rights without authorization, or that are offensive, vulgar, or obscene.
Intellectual Property
The Service and its original content (excluding user-provided Content), features, and functionality remain the exclusive property of the Company and its licensors.
The Service is protected by copyright, trademark, and other laws both domestically and internationally.
Our trademarks and trade dress cannot be used with any product or service without our prior written consent.
User-Generated Content
NursingPrep Central is a learning platform where students may submit, upload, post, or contribute content including questions, answers, explanations, notes, images, audio, and video. You retain ownership of content you submit.
License You Grant to Us
By submitting content, you grant NursingPrep Central a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, adapt, publish, translate, create derivative works (including formatting, moderation edits, and categorization), publicly perform and display, and distribute your content for operating, promoting, and improving our platform and educational services. This license continues while your content remains on the platform. You may remove content anytime; however, backups, prior uses, or references in other users' materials may persist as permitted by law.
Public Display and Attribution
Some content or profile information may be publicly visible (e.g., question explanations, forum posts, display name). Avoid including personal or sensitive information in public submissions. We may attribute content to your display name where appropriate.
Prohibited Content
- Content infringing third-party intellectual property or privacy rights
- Plagiarized, hateful, harassing, or unlawful content
- Medical advice, diagnosis, or treatment instructions presented as professional guidance
- Malware, spam, or content interfering with the platform
Moderation and Removal
We may review, flag, or remove content violating these Terms or applicable law, and may suspend or terminate accounts for repeated or serious violations.
Your Representations
You confirm and guarantee that you have necessary rights to upload submitted content, and that your submissions comply with these Terms and applicable laws.
Indemnity
You agree to indemnify and hold harmless NursingPrep Central, its affiliates, and personnel from claims arising from your content, platform use, or violation of these Terms or applicable law.
Your Feedback to Us
You transfer all rights, title, and interest in any Feedback you provide to the Company. If such transfer is ineffective for any reason, you grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sublicense, distribute, modify, and exploit such Feedback without restriction.
By submitting testimonials with associated photos, you grant the Company irrevocable rights to use, reproduce, publish, distribute, and display the testimonial and photos in any format or media worldwide, without compensation or attribution. This includes promotional materials, advertisements, website content, and social media posts. You confirm having necessary rights and permissions to grant this license.
DMCA Policy
NursingPrep Central takes copyright infringement seriously and fully complies with the Digital Millennium Copyright Act (DMCA). All copyright infringement claims must be submitted in writing. If you believe your copyright has been violated, notify our DMCA agent immediately.
To ensure DMCA validity, copyright owners or authorized agents must provide:
- Identification of allegedly infringed copyrighted content, including URLs and specific location details
- Contact information including full name, address, email, and phone number
- A good faith statement that the described use is unauthorized by the copyright owner, agent, or law
- A statement under penalty of perjury confirming notification accuracy and your status as copyright owner or authorized agent
- Electronic or physical signature of the authorized person

- Reverse Engineering and Unauthorized Use: You may not reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, algorithms, structure, or organizational form of NursingPrep Central services. Reverse engineering for creating competing products or services, or for any other reason, is strictly prohibited.
- Screenshots and Recordings: Taking screenshots, screen recordings, or any duplication of material, content, and resources provided by NursingPrep Central is strictly prohibited. This includes tutorials, question banks, videos, articles, and all proprietary material.
- Sharing Access: Your NursingPrep Central access is personal and cannot be shared with or transferred to others. Sharing login credentials, access tokens, or any access method with unauthorized users is strictly forbidden.
- Consequences of Violation: Attempting prohibited activities including reverse engineering, unauthorized duplication, or sharing access breaches these terms. NursingPrep Central reserves the right to take all appropriate legal actions to protect its intellectual property and proprietary rights, including terminating access, seeking financial compensation, and pursuing legal action against individuals or entities involved.

Termination
We may terminate or suspend your Account immediately, without prior notice or liability, for any reason, including if you breach these Terms and Conditions.
Upon termination, your right to use the Service ceases immediately. To terminate your Account, simply discontinue using the Service.
Limitation of Liability
Notwithstanding any damages you might incur, the entire liability of the Company and its suppliers under any provision of these Terms, and your exclusive remedy, shall be limited to the amount you actually paid through the Service or $100 USD if you haven't purchased anything.
To the maximum extent permitted by applicable law, the Company or its suppliers shall not be liable for any special, incidental, indirect, or consequential damages whatsoever (including damages for loss of profits, data or other information, business interruption, personal injury, or loss of privacy arising from or related to Service use or inability to use the Service, third-party software/hardware used with the Service, or otherwise connected with any provision of these Terms), even if the Company or any supplier has been advised of possible damages and even if the remedy fails of its essential purpose.
Some states don't allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, meaning some above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided "AS IS" and "AS AVAILABLE" with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties arising from course of dealing, performance, usage, or trade practice.

Waiver
Except as provided herein, failure to exercise a right or require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall waiver of a breach constitute waiver of any subsequent breach.
Changes to These Terms and Conditions
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we'll make reasonable efforts to provide at least 30 days' notice before new terms take effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms. If you don't agree to the new terms, in whole or in part, please stop using the website and the Service.
